Terms of Service

Eligibility

• You must be at least 16 years old to use the Service.
• You must have the legal capacity to enter into a binding agreement.
• If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Accounts

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately if you suspect unauthorized access to your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

Acceptable use

You agree not to:

• Use the Service for any unlawful, harmful, or abusive purpose.
• Attempt to access, tamper with, or disrupt other accounts, systems, or data.
• Upload malware, viruses, or any code designed to disrupt the Service.
• Attempt to bypass security controls, rate limits, or authentication mechanisms.
• Use the Service to send unsolicited communications (spam).
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use automated scripts or bots to access the Service without our written permission.
• Resell or redistribute the Service without our written permission.

Your content

You retain full ownership of all data, files, contracts, invoices, and other content you upload to the Service ("Your Content").

You grant us a limited, non-exclusive license to host, store, and process Your Content solely to provide the Service. This license ends when you delete your content or your account.

You are responsible for Your Content. We do not review, monitor, or endorse any content uploaded by users.

Electronic signatures created through the platform are Your Content and are processed only to provide the document workflow.

Intellectual property

The Service, including its design, code, features, and documentation, is owned by Agencly and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Service without our written permission.

Third-party services

The Service integrates with third-party services, including:

• Polar for billing and payment processing.
• Google for sign-in, Google Calendar, and Google Drive.
• AWS (SES, EC2, R2) for email delivery, hosting, and file storage.
• Sentry for error monitoring.
• Cloudflare Turnstile for CAPTCHA verification.
• AI agent providers (MCP): when you connect an AI agent through the Model Context Protocol, the agent's provider (such as Anthropic or OpenAI) processes the workspace data your key is scoped to, subject to their own terms and privacy policies.

Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party services.

AI agent connections (MCP)

Agencly lets you connect AI agents (such as Claude, ChatGPT, or Cursor) to your workspace through the Model Context Protocol (MCP) using API keys you generate in Settings.

• Your responsibility: you are solely responsible for the agents you connect, the API keys you create, and the module permissions you grant. Keep your keys confidential and revoke any key you no longer trust.
• Agent actions are your actions: any data an agent reads, creates, or modifies through MCP is treated as action taken by you or your workspace. You are responsible for the consequences of those actions.
• Acceptable use: you may not use MCP to access data you are not authorized to view, to exceed the permissions of a key, to disrupt the Service, or to violate the rights of others.
• Revocation: we may suspend or revoke MCP access, or disable a key, if we detect abuse, a security risk, or a violation of these Terms.

Subscriptions and billing

• The Service is offered as a paid subscription with a 14-day free trial.
• Subscriptions renew automatically at the end of each billing cycle unless cancelled.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
• Refunds are handled according to our Refund Policy.
• We reserve the right to change pricing with 30 days' notice. Price changes take effect at your next renewal.
• All fees are exclusive of taxes, which you are responsible for paying as required by law.

Service availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or experience downtime. We will provide reasonable notice for planned maintenance when possible.

Data export and portability

You can export your data at any time through the Service. If you close your account, we will retain your data for 90 days to allow reactivation, then permanently delete it. You may request a data export before closure by contacting contact@agencly.app.

Limitation of liability

To the maximum extent permitted by law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Agencly shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.
• Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid to Agenclyin the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Agencly, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service.
• Your violation of these Terms.
• Your Content or any data you upload to the Service.
• Your violation of any third-party rights.

Termination

We may suspend or terminate your access to the Service if you violate these Terms, engage in abusive behavior, or if required by law. We will provide notice when reasonably possible.

You may stop using the Service at any time. Upon termination, your right to use the Service ceases immediately.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, unless you opt out within 30 days of first accepting these Terms. The arbitration shall be conducted in English, in a location mutually agreed upon or via video conference.

Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property rights.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

Entire agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Agenclyregarding the Service and supersede all prior agreements.

Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms with a new effective date and, where required, by email. Your continued use of the Service after changes take effect means you accept the updated Terms.
